These Terms of Use ("Terms") govern your access to and use of the XYZ+ website, mobile applications, design tools, marketplaces, and related services (collectively, the "Platform"). By accessing, browsing, creating an account, placing an order, uploading content, or otherwise using the Platform, you acknowledge that you have read, understood, and agreed to be bound by these Terms, our Privacy Policy, and our Refund & Return Policy. If you do not agree with these Terms, you should discontinue use of the Platform immediately.
1. Eligibility
To use the Platform, you must:
- Be at least 18 years of age.
- Be legally capable of entering into a binding contract under applicable laws.
- Provide accurate and complete information when creating an account.
By using the Platform, you represent and warrant that you satisfy these requirements.
2. Account Registration & Security
You may be required to create an account to access certain features of the Platform. You are solely responsible for:
- Maintaining the confidentiality of your login credentials.
- Restricting access to your account.
- All activities conducted through your account.
You agree to notify us immediately at support@xyzplus.inif you suspect unauthorized access, security breaches, or misuse of your account. XYZ+ shall not be liable for losses resulting from unauthorized use of your account due to your failure to safeguard your credentials.
3. Products & Customization Services
XYZ+ offers ready-made apparel, accessories, merchandise, and custom-designed products created through our Design Studio and related customization tools. When uploading or submitting artwork, logos, text, images, or other creative content, you represent and warrant that:
- You own or possess all necessary rights, permissions, and licenses.
- Your content does not infringe any copyright, trademark, patent, privacy right, publicity right, or other proprietary right.
- Your content does not contain unlawful, defamatory, offensive, misleading, obscene, hateful, discriminatory, or harmful material.
- Your content complies with all applicable laws and regulations.
You retain ownership of your submitted content. However, you grant XYZ+ a limited, non-exclusive, royalty-free license to store, reproduce, modify where technically necessary, print, and use such content solely for the purpose of fulfilling orders, providing customer support, quality assurance, and operating the Platform. XYZ+ reserves the right to reject, suspend, remove, or refuse production of any content that violates these Terms.
4. Orders, Pricing & Payment
All prices displayed on the Platform are listed in Indian Rupees (₹) and are inclusive of applicable taxes unless otherwise stated. While we strive to ensure pricing accuracy, XYZ+ reserves the right to:
- Correct pricing errors.
- Modify product information.
- Limit product quantities.
- Refuse or cancel orders at its discretion.
Orders may be cancelled in situations including, but not limited to:
- Pricing inaccuracies.
- Inventory shortages.
- Payment verification issues.
- Suspected fraud or abuse.
- Violation of these Terms.
Payments are processed through secure third-party payment gateways. XYZ+ does not store your complete credit card, debit card, banking, or UPI credentials. Cash on Delivery (COD) services may be offered on selected products and locations.
5. Shipping & Delivery
Estimated delivery timelines are displayed during checkout and are intended as estimates only. Custom-made products generally require additional production time before dispatch. While we work closely with logistics partners, delivery timelines may be affected by:
- Weather conditions.
- Transportation disruptions.
- Public holidays.
- Government restrictions.
- Other events beyond our reasonable control.
Ownership and risk of loss transfer to you upon successful delivery of the order.
6. Returns, Refunds & Cancellations
Returns, refunds, replacements, and cancellations are governed by our Refund & Return Policy. Customers are encouraged to review the policy before placing an order. Custom-designed, personalized, printed, or embroidered products are generally non-returnable unless they arrive defective, damaged, or materially different from the approved design.
7. Loyalty Rewards & Referral Program
XYZ+ may offer loyalty programs, reward points, referral bonuses, coupons, promotional credits, and similar benefits. Unless expressly stated otherwise:
- Reward points have no cash value.
- Points cannot be transferred or sold.
- Points may expire according to applicable program rules.
- Referral rewards are issued only after successful validation of qualifying purchases.
XYZ+ reserves the right to suspend, modify, cancel, or reverse rewards obtained through abuse, fraud, manipulation, or violation of these Terms.
8. Designer Marketplace
Designers who publish artwork through the XYZ+ Marketplace remain solely responsible for the originality, legality, and ownership of submitted content. By participating in the marketplace, designers agree to:
- Comply with all intellectual property laws.
- Indemnify XYZ+ against any claims arising from their submissions.
- Accept the commission structure and payout policies published on the Platform.
XYZ+ reserves the right to remove artwork or terminate designer accounts at its sole discretion.
9. Intellectual Property
All rights, title, and interest in the Platform, including but not limited to:
- XYZ+ name and trademarks
- Logos and branding assets
- Website design and user interface
- Product photography
- Content, graphics, code, software, and technology
are owned by or licensed to XYZ+ Apparel Pvt. Ltd.
Except as expressly permitted, you may not:
- Copy or reproduce content.
- Reverse engineer software.
- Scrape or harvest data.
- Use our intellectual property for commercial purposes.
without prior written authorization.
10. Prohibited Activities
Users shall not:
- Interfere with the operation or security of the Platform.
- Upload malicious software, viruses, or harmful code.
- Attempt unauthorized access to accounts, systems, or networks.
- Misuse coupons, promotions, loyalty rewards, or referral programs.
- Impersonate another person or entity.
- Use the Platform for unlawful, fraudulent, or deceptive purposes.
- Upload content that violates applicable laws or third-party rights.
Violation of this section may result in account suspension, order cancellation, legal action, or permanent account termination.
11. Disclaimer of Warranties
The Platform and all products and services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, XYZ+ disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted, error-free, or completely secure operation of the Platform.
12. Limitation of Liability
To the maximum extent permitted by law, XYZ+, its directors, officers, employees, affiliates, suppliers, and partners shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or related to your use of the Platform. In any event, the total liability of XYZ+ shall not exceed the amount paid by you for the specific order giving rise to the claim.
13. Indemnification
You agree to defend, indemnify, and hold harmless XYZ+, its affiliates, directors, officers, employees, and partners from and against any claims, liabilities, damages, losses, expenses, or legal fees arising from:
- Your use of the Platform.
- Your violation of these Terms.
- Your uploaded content.
- Your infringement of any third-party rights.
14. Governing Law & Dispute Resolution
These Terms shall be governed by and interpreted in accordance with the laws of India. Any dispute, claim, or controversy arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts located in Kolkata, West Bengal, India. Before initiating legal proceedings, both parties agree to make reasonable efforts to resolve disputes amicably through written communication. 15. Changes to These Terms
XYZ+ reserves the right to modify or update these Terms at any time. Any material changes will be communicated through the Platform, email notifications, or other appropriate means. Your continued use of the Platform after such changes become effective constitutes acceptance of the revised Terms.
